In no event will First Allied be liable to you under any theory of tort, contract, strict liability or other legal or equitable theory or for any direct, indirect, special, incidental, or other consequential damages. If you are employed by First Allied, you acknowledge and agree that your participation and posting of any Fan Content is not a condition of your employment.

This agreement shall be construed in accordance with and governed by the laws of the State of New York, without regard to any conflict of laws.
